Purpose of Role

To lead Oxfam GB’s work in Nigeria by working with the Regional Management Centre, Oxfam affiliates and other organisations (national, regional and global) to bring about change through Oxfam’s programme and influence.

Role & Responsibilities

Accountable for the delivery of the relevant part of the country program strategy to confederation standards as agreed by RPGB and MA and through an inter-Affiliate agreement between MA and IA

Operational and People line management, including performance management of programme staff and budget management

As a key member of the OI team in country, demonstrate leadership through both the Oxfam GB programme and as a member of the country leadership team.

As a key member of the Country Leadership Team the ACD will support the development and or revision of the country analysis and strategy, manage the transition plan to 2020, Develop and manage donor and partnership contracts for Oxfam GB’s direct programme work as governed by the country strategy and the country operating plan

Ensures adherence to OI policies and standards for program, program management, finance and HR

Ensures adherence to the OI code of conduct, security guidelines and heath & safety

Recruitment and development of the affiliate team that reports into the ACD to ensure that the right people, with the right skills, are available for the implementation of the programme strategy

Input into the fundraising strategy, and coordination of fundraising opportunities alongside and supported by the Country Leadership Team

Skills, Experience & Knowledge

Management experience in leading the development, and ensuring the delivery of, programme strategy, either through partners or directly, in one or more challenging locations

Experience of developing and managing complex budgets associated with donor and partner contracts

Experience of managing donor and partner relationships within a development, advocacy or humanitarian context

Ability to manage the development of, and contribute to, the analysis of factors driving poverty, marginalisation and vulnerability in developing country contexts, including the ability to ‘think politically’ by understanding motivations, pressures and challenges faced by colleagues, partners and other actors

Knowledge and experience of fundraising including the identification of new fundraising opportunities and partnerships to support programme implementation

Leadership experience of (possibly) remote teams operating within an INGO context; has knowledge and experience of using coaching and team working to deliver

Understanding of managing security, health and safety and risk within an INGO context

Humanitarian / Development and Advocacy experience as required by the Implementing Affiliates programme strategy

Good level of IT literacy and an understanding of how new developments in technology can positively contribute to the aims of an INGO

Excellent written and verbal communication skills to motivate, influence, and negotiate

Fluency in both written and spoken English ideally a working knowledge of the local language

Objective 1: Strategic Development & Technical Integration

Activities:

  • Work with the Country Director to provide leadership to the development and maintenance of a comprehensive needs-based program strategy for ACF programming

Objective 2: Program Quality Insurance

Activities:

  • Oversee the quality implementation of ongoing programming based on robust grant management and monitoring and evaluation systems and the facilitation of Technical Department.
  • Ensure the MEAL integration and supervise the MEAL Coordinator
  • Ensure that funding for programming is spent in a coherent, transparent and optimal way.
  • In coordination with CD and Coordinators, responsible for the technical briefing and debriefing as well as management of consultants and external specialists arriving to support the mission.
  • Ensure the collection and capitalization by the DCD and Tech coordinators of digital and physical ACF Information on information gathered through HQ reports, ACF programming, partnerships, partners, UN system, clusters, and other avenues of data collection.
  • Ensures Mission Technical Coordination Meetings (MTCMs) happen on a monthly basis, and submits minutes to Country Director and Coordination.
  • Provide formal and informal capacity building trainings to staff.
  • Final Mission-level validation of program and technical guidelines and policies.
  • Ensure that quality to ACF and donor compliance for program, reporting, and financial grant requirements are met.
  • Ensure that monitoring and evaluation of programming informs quality implementation.
  • Coordinate closely with Admin, Security, Log and Field Coordinators to ensure that security, procurement, HR and financial protocols are designed to support quality programming.
  • Closely monitor program spending and follow up spending plans with Finance Co and PMs

Objective 3: Donor Compliance, Reporting and Documentation

Activities:

  • Lead proposal preparation through a needs based approach ensuring all departments work together
  • Ensure Budget, PPP, Workplan, Budget forecasts, ongoing monitoring and kick off meetings take place for every program
  • Ensure that all programs are compliant with donor protocols and reports are submitted on time to HQ for validation
  • Ensure all donor reports are completed in a timely manner with the relevant input from the field teams and submitted to HQ for validation
  • Ensure that workplans are followed to ensure budget forecasts are met and studies (KAP, RSCA, SMARTs etc.) are planned and executed timely

Objective 4: Representation with external stakeholders

Activities:

  • Responsible for representation of ACF in partnership-related meetings at a strategic level for workshops, working groups, etc.
  • Lead, in liaison with the CD, partnership proposal preparation through furnishing of evaluation/assessment data and coordination.
  • Identification and evaluation of potential partners and partnerships at country level.
  • Carries out follow-up evaluation of partnership (programming and partner relations), maintains lessons learned and proposes action points for future improvement.
  • Represent ACF to donors, UN and partner INGOs, and national and local government officials (programs).

Objective 5: Human Resources and Career Development

Activities:

  • Direct manager of the Technical Coordinators and MEAL Coordinator
  • Supervision of externally hired consultants for any program matters
  • Responsible for the validation of technical departmental HR needs for international staff.
  • Responsible for the proper induction and debriefing of managerial staff.
  • Undertake any other tasks assigned by the Country Director

JOB DESCRIPTION

The collaboration will start by 15th of May 2014.

Main tasks and duties:

  • Be responsible of the overall project management and implementation.

International Medical Corps has had a team on the ground in the Philippines since Super Typhoon Haiyan, left widespread devastation, affecting nearly 13 million people, including some 5 million children. According to UNOCHA, 4 million men, women and children have been displaced, many desperate for food, safe drinking water, basic shelter and sanitation.
International Medical Corps has adopted a multi-sector approach to address the most pressing needs after the typhoon. As informed by needs assessments, recovery is focusing on: reconstruction; health service capacity strengthening; nutrition; mental health and psycho-social support; water, sanitation and hygiene in schools; mitigating gender-based violence; and improving food security and livelihoods.
JOB SUMMARY
The Country Director is directly responsible for the overall strategic planning, human resources, program design and implementation, program support operations, finance, administration, monitoring and evaluation supervision, expansion/development, and required reporting for the country program.
ESSENTIAL RESPONSIBILITIES

  1. Program Management
    • Develop country specific strategic plan and proposals for programs that will successfully transition our relief programs to early recovery and transition to more long-term development programs.
    • Work closely with the MoH to identify a strategy for the strengthening the health care system
    • Represent the organization and liaise with local and national authorities, UN, NGO, and donor agencies to promote the organizations programs, facilitate successful coordination of activities and ensure transparency and accountability to all stakeholders
    • Participate in writing and reviewing proposal applications
    • Provide technical inputs and assistance to programs with particular reference to financial management and reporting systems
    • Participate in UN health, Nutrition and WASH Cluster coordination to ensure programs playing a vital role and to secure required support from the cluster coordination mechanism and the UN funding instruments such as CERF, CHF etc
  2. Compliance
    • Oversee program operations and reporting, ensuring compliance with agency policies and procedures, Donor regulations and local laws
    • Monitor, evaluate and report on all program activities and progress to the central office and Donors
    • Oversee the preparation of annual work plans and budgets
    • Report regularly to headquarters, providing timely updates of all situational and project developments
    • Create and maintain an environment that prevents sexual exploitation and abuse (SEA) of beneficiaries, by clearly defining the standards of behavior that are expected of IMC staff, as described in the organizations Code of Conduct; Ensure that mechanisms supporting these standards and principles are promoted, disseminated, and integrated into personnel requirements, and that the organizations SEA complaints procedures are in place and functioning properly.
  3. Program Development
    • Primarily responsible for expanding country portfolio
    • Pursue new sources of donor funding and maintain adequate donor funding levels to sustain identified program and support activities
    • Drafting and editing proposals
    • Remaining aware of donor funding intentions
  4. Human Resources
    • Oversee the recruitment and selection of qualified program field staff, recommend promotions, disciplinary action and termination of staff in consultation with supervisors
    • Collaborate with security staff to maintain security of staff in the field locations
    • Make frequent site visits to facilities to ensure that appropriate care and training are being conducted and to offer support to field staff
    • Maintain open lines of communications with all field staff
  5. Training/ Capacity Building
    • Determine training needs for the field staff
    • Train senior national staff to increase their responsibilities in order to build capacity and ensure sustainability of programs
    • Advocate and plan for professional development for expat and national staff
  6. Working Relationships
    • Maintain frequent communication with Regional Coordinator to ensure program activities and objectives are communicated
    • Work with Deputy Country Director, Medical Director, Finance Director, Security and Logistics staff to ensure the coordination of programs
    • Represent the organization at task force meetings, assessment missions, camp coordination meetings, UN coordination meetings, INGO coordination meetings
    • Interface with national government and relevant agencies to ensure mutual understanding of programs and maximize resource distribution and allocation of available funds
  7. Representation
    • Serve as the principal liaison with Donors on matters related to the program to ensure financial and programmatic accountability to Donors
    • Establish and update contact details of potential Donors in-country
    • Participate in Donor meetings and communicate relevant information to HQ
    • Work with key Donor Staff to develop and maintain optimum financial and programmatic relationship
    • Ensure maximum visibility of the Agency amongst the NGO community
    • Lead the production of reports and ensure the timeliness and accuracy of information provided, as well ensuring confidentiality of sensitive information.
    • Contribute to the creation of a positive image and overall credibility of the organization, notably through the application of the organizations Code of Conduct, ethics, values and stand-point with regard to internal and external actors
  8. Security
    • The Country Director is ultimately responsible for the security management of staff, operations, assets and directs country-specific response to security threats and incidents, up to and including management of evacuation
    • Monitor security level and consult with the Director of Global Security to upgrade or downgrade level
    • Responsible for ensuring that Incident Report Forms are completed and submitted to HQ Security in a timely manner (within 12 hours)
    • Responsible for ensuring all staff are given a security briefing, and required documentation upon entry into the country
    • Ensure application and compliance of security protocols and policies
    • In cooperation with the Security Coordinator, monitor the security situation and inform the HQ Security Office through weekly security reports
    • Ensure that country security guidelines, SOP’s and policies are updated twice annually (July 31 and January 31) including contingency planning for evacuation, in accordance with agency protocols and respected by all staff
    • Ensure adequate security funding is budgeted
    • Nominate security focal points at each operational site in country
    • Collect and document local security related information (social & political context, external players, presence/reasons for conflict, military developments, political economy of armed groups), and communicates to the Director of Global Security at HQ DC office
    • Establish a reliable communication chain to disperse important information, whereby once the CD communicates a message, it is systematically passed on from one person to the next, with each person knowing who they are responsible for informing. (phone tree)
    • Collaborate with local agencies to aid with security management
  9. Prevention of Sexual Exploitation and Abuse
    • Actively promote PSEA (Prevention of Sexual Exploitation and Abuse) standards within International Medical Corps and amongst beneficiaries served by International Medical Corps.
  10. Qualifications:• 7-10 yrs of project management experience (management, planning, staff development and training skills) in emergency / development programs
    • Significant experience in development programs, mainly in the health field (Health policy, health reforms)
    • Comprehensive knowledge and working experience with USAID, World Bank, EU, DfID and other donors;
    • Minimum financial management including preparing and managing budgets, banking activities, contracts and negotiations
    • Experience in developing and managing procurement and logistical procedures and policies

DEPARTMENT/COUNTRY PROGRAM DESCRIPTION/MISSION:
The overall objective of the ARC South Sudan program is to assist the South Sudanese to respond and react to community needs. To achieve this objective, ARC implements a multi-sectoral program that includes primary health care and gender based violence prevention and response activities. ARC currently works closely with the County Health Departments in large scale county wide health programming and is looking to expand to tertiary care. ARCs GBV programming is expanding its outreach mechanisms and introducing innovative new initiatives. ARC has program activities in Central and Eastern Equatoria, Northern Bahr Gazal, and Warrap.

PRIMARY PURPOSE OF THE POSITION:
Based in Juba, the Country Director is responsible for delivering high quality programs, identifying new opportunities, and continuing to strengthen ARC’s reputation for innovative programs. The Country Director is responsible for a team of people that works with communities affected by displacement to identify their needs and craft programs to sustainably address those needs. The Country Director provides strategic leadership to the country to maintain a high performing team, develop new grants and align strategy and implementation activities. The Country Director also serves as the primary liaison with the Regional Manager in the Program Management Unit who work to ensure rapid resolution of obstacles and links to the technical and program development team in the Program Development and Quality Unit. The Country Director needs to be a strategic thinker and be able to implement both Emergency and Development programming.

MAJOR AREAS OF ACCOUNTABILITY
PRIMARY DUTIES/RESPONSIBILITIES:

Program Management

  • Ensure program targets and quality standards are achieved, maintaining frequent communication with ARC headquarters to promptly identify and resolve challenges.
  • Implement solid program management disciplines to ensure program effectiveness, quality and innovation.
  • Coordinate all aspects of programming with other ARC programs and initiatives as appropriate.
  • Ensure proper maintenance of procurement and inventory management systems consistent with donor guidelines and ARC policies.

This means working closely with the other Deputy Directors of Finance and Administration, and Procurement Operations, and with the IT Project Manager, who report directly to the Country Director.

The position requires an experienced technical person who has a broad view of supply chain management system implementation and strengthening, who can be innovative, and who can take initiative on new ideas and strategies, taking into account the prevailing or changing circumstances. As a technical leader s/he is able to delegate “hands-on” technical issues to the technical team and provide management oversight and direction. Specific emphasis will be placed on program management.

SPECIFIC RESPONSIBILITIES:

SCMS Project Management and Leadership:

1.Work closely with the SCMS Country Director to ensure that all areas of the project are integrated, including Procurement Operations, Finance and Administration, Technical Operations of Warehouse & Distribution, Health Systems Strengthening Field Support, Logistics Management Information Systems, IT Projects, Monitoring and Evaluation, Communications, and Program Management, making the most effective and efficient use of all project resources.

5.Proactively and continuously provide technical and management oversight across all program areas to ensure that strategies, budgets, work plans, expenditures, data collection, performance monitoring, and reporting are planned and executed to support program deliverables. 7.Work closely with the Country Director to ensure that the Joint Work Plan with PFSA is managed and implemented.

9.Represent the SCMS project at various technical meetings with other cooperating agencies, collaborating with partners, senior government officials, and donor agencies. Participate in various working groups as required.

Technical Operations, LMIS, M&E, and Communications Supervision:

1.Supervise the LMIS Project Manager, the M&E / Communications Manager, and the Deputy Director of Technical Operations to ensure that they have updated, relevant job descriptions, work plans specific to their role, conduct performance reviews, provide on-going mentoring and coaching, manage all personnel issues.

2.Oversee work planning and activities to ensure that budgets and expenditures are managed and deliverables are met.

3.Ensure staff are trained on and follow SCMS and MSH policy, procedures, and SOPs.

QUALIFICATIONS:

1.Post Graduate education in logistics, supply chain management, pharmacy, medicine, public health, or business, or in a field of study closely related to the responsibilities, with a background in public health, is required.

2.Minimum of eight years relevant experience in program management in public health, supply chain, or health systems strengthening, including budget management, project design and management, capacity building, monitoring and evaluation, and administration operations, of which at least 5 years of supervisory experience is required; and cultivating strategic relationships with executive stakeholders. An Ethiopian national is preferred.

The overall security situation in Afghanistan remains dynamic and unpredictable due to reasons of insecurity, weak governance, political polarization and a booming drug economy. The military transition in Afghanistan expected to be completed by the end of this year is filled with ambiguity and uncertainty. Negotiations between the US and the Afghan government continue on the numbers of a residual ISAF contingent to remain in support of the central government.

RESPONSIBILITIES:
Strategic Planning and Management

* Working closely with the Regional Director, and regional team, develop a strategic direction and plan for the country program that responds to the changing funding environment in Afghanistan;
* Ensure that structures and systems are in compliance wi th IRC standards, and that they support program delivery and promote management coordination, communication, and efficiency throughout the country program.

Program Quality & Development
* Develop program strategies in accordance with IRC mission and program framework;
* Manage, implement and design programs in accordance with exising remote management policy; monitor effectiveness of the policy and adjust as needed in coordination with the regional team;
* Ensure the consistent use of well managed assessment, design and proposal development processes;
* Promote a team approach and positive learning environment utilizing headquarters, country program and operations staff and partners to consistently enhance the quality of design and implementation.

Key Partner & Donor Relations
* Develop IRC as a partner of choice for major local and international donors;
* Develop and maintain a high level of understanding of donor priorities, country plans and planned funding initiatives;
* Maintain and expand participation with key donors, host government, local stakeholders and relevant policy and coordinating bodies.

Fundraising and Budget Management

* Ensure submission of appropriate, timely high quality proposals and lead required donor negotiations;
* Monitor and identify appropriate sources for match fund requirements and coverage of funding gaps;
* Provide timely and effective oversight of the financial position of the country program including identification and implementation of required changes to match funding levels;
* Maintain effective and coordinated budget monitoring processes for grant funds and discretionary funds.

Security & Operations Manage ment
* Working with country senior management team ensure the development, implementation and monitoring of financial and operational policy and procedures to ensure constant compliance with IRC and donor policies across the program;
* Take primary responsibility for the overall management of safety and security for the country program in an increasingly complex environment;
* Maintain coordination with regional team, including the Sr. Regional Safety and Security Advisor, on safety and security concerns and evolving issues.

Human Resources Management and Development
* Supervision of senior management team
* Discuss job expectations, set objectives and provide appropriate and timely feedback regarding performance, including timely implementation of the annual staff performance management system. Provide mentoring and support national staff capable of senior management respons ibilities.
* Clearly define the training needs of direct reports and ensure they are able to access training and professional development resources appropriate to their skill gaps/needs.
* Maintain open and professional relations with team members, promoting a strong team spirit and providing oversight and guidance to enable staff to successfully perform in their positions including staff development plans.
* Provide leadership support for the successful implementation of and adherence to the IRC Global HR Operating Policies and Procedures

1.4 RFP CHANGE POLICY

1.8 RIGHTS OF UNICEF

UNICEF reserves the right to accept any proposal, in whole or in part; or, to reject any or all proposals. 1.10 PROPOSAL EVALUATION

After the public opening, each proposal will be assessed first on its technical merits and subsequently on its price. The proposal with the best overall value, composed of technical merit and price, will be recommended for approval. UNICEF will set up an evaluation panel composed of technical UNICEF staff and their conclusions will be forwarded to the internal UNICEF Contracts Review Committee.

The evaluation panel will first evaluate each response for compliance with the requirements of this RFP. Responses deemed not to meet all of the mandatory requirements will be considered non-compliant and rejected at this stage without further consideration. Failure to comply with any of the terms and conditions contained in this RFP, including provision of all required information, may result in a response or proposal being disqualified from further consideration.

UNICEF will award the contract to the contractor’s whose response is of high quality, clear and meets the projects goals. Below is the evaluation criterion:

The price/cost of each of the technically compliant proposals shall be considered only upon evaluation of the above technical criteria.

The bidders should ensure that all pricing information is provided in accordance with the following:The currency of the proposal shall be in SSP. Invoicing will be in the currency of the proposal. The bidder will suggest a payment schedule for the Contract, linked to unambiguous Contract milestones. All prices/rates quoted must be exclusive of all taxes as UNICEF is a tax-exempt organization.

1.11 PROPERTY OF UNICEF

This RFP, along with any responses there to, shall be considered the property of UNICEF and the proposals will not be returned to their originators. In submitting this proposal the bidder will accept the decision of UNICEF as to whether the proposal meets the requirements stated in this RFP.

1.12 VALIDITY

Proposal must be valid for a minimum of ninety (90) days from the date of opening of this RFP and must be signed by all candidates included in the submission. For proposals from institutions, the proposal must also be signed by an authorised representative of the institution. Bidders are requested to indicate the validity period of their proposal in the Proposal Form. UNICEF may also request for an extension of the validity of the proposal.

1.13 CONTRACTUAL TERMS AND CONDITIONS

The UNICEF Special and General Terms and Conditions are attached and will form part of any contract resulting from this RFP.

1.14 FULL RIGHT TO USE AND SELL

T The bidder warrants that it has not and shall not enter into any agreement or arrangement that restrains or restricts UNICEF or the recipient Governments rights to use, sell, dispose of or, otherwise, deal with any item that may be acquired under any resulting Contract.

ANNEX I – STATEMENT OF WORK AND TERMS OF REFERENCE

Background and JustificationIn addition to the current security situation that has resulted in tens of thousands of Internally Displaced Persons, South Sudan is grappling with many health related issues which have a direct impact on the lives of children and women.. The Government has planned several initiatives in the coming months to reach vulnerable population with the information on critical life-saving and survival behaviors.

The above mentioned initiatives include several immunization campaigns for 2014, which are listed below for reference as an example. These are likely to be amended and with additional campaigns added as and when required.

• Polio: February, March, November and December (countrywide)• Measles: March (countrywide)• Meningitis A vaccine: October and November (State/region-wise)• Introduction of Pentavalent vaccines: April • Routine Immunization: For the entire year, countrywide

(Immunization is being used as an example to assess the technical capacities of the bidding agencies.)

PurposeUnder the technical guidance of UNICEF, the agency shall develop and implement a media plan for the broadcasting of radio spots to raise knowledge on the campaign dates and importance of behaviors promoted through communication campaigns for Immunization, polio, and on other sectoral interventions.

Specific tasks• Develop and produce ready to air radio spots of one minute duration in English and 8-11 South Sudanese languages

• Make amendments/edits/date changes in the existing radio spots with UNICEF in English and other 8-11 languages

• Develop a media plan along with cost for airing of radio spots, arrange distribution, placement of spots on the radio stations across the country and monitoring of radio spots.

Expected Deliverables for each campaign• New spots of 60 seconds in English and in other 8-11 languages in ready to air format on CDs on respective assigned campaigns. The messages have to be pre-tested before broadcasting. UNICEF will support pre-testing of messages/scripts.• A detailed media plan for each campaign. Radio spots will be aired, starting 3 days prior to the campaign and will go on till the end of the campaign. So the radio spots will be aired for total 7 days each campaign. • Monitoring report of radio spots aired.

Expected background and Experience• A media agency with the knowledge and access to the latest information on the media environment with demonstrated experience in developing and executing media plans with monitoring system and MIS, including systems for data collection, analysis and feedback.• Proven technical capacity and abilities to meet deadlines.• Agency team able to dedicate to the UNICEF Project• Team should have fluency in spoken and written English; knowledge local languages (Arabic, Dinka, Nuer, Zande, Bari, Acholi, Shilluk, Murli, and others) is desirable• Experience in working with UNICEF and other UN agencies is an advantage• Demonstrated experience in assignments relating to management of behavior change communication• A qualified multi-disciplinary team with relevant experience in development sector and management of communication

ANNEX II - UNICEF SPECIAL TERMS AND CONDITIONS

  1. UNETHICAL BEHAVIOUR

UNICEF strictly enforces a policy of zero tolerance concerning unethical, unprofessional or fraudulent acts of UNICEF bidders. Accordingly, any registered bidder that is found to have undertaken unethical, unprofessional or fraudulent activities will be suspended or forbidden from continuing business relations with UNICEF.

  1. CORRUPT AND FRAUDULENT PRACTICESUNICEF requires that all bidders associated with this Invitation to Bid/Request for Proposal observe the highest standard of ethics during procurement and execution of the work. In pursuance of this policy UNICEF

(a) Defines for the purpose of this provision the terms set forth as follows:

(i) corrupt practice means the offering, giving, receiving or soliciting of anything of value to influence the action of a public official in the procurement process or in the execution of a contract, and

(ii) fraudulent practice means a misrepresentation of facts in order to influence a procurement process or the execution of a contract to the detriment of the client, and includes collusive practice among bidders (prior to or after bid submission) designed to establish bid prices at artificial non-competitive levels and to deprive the client of the benefits of free and open competition;

(b) Will reject a proposal for award if it determines that the selected supplier/contractor have engaged in any corrupt or fraudulent practices in competing for the contract in question;

(c) Will declare a bidder ineligible, either indefinitely or for a stated period of time, to be awarded a UNICEF-financed contract if at any time it determines that it has engaged in any corrupt or fraudulent practices in competing for, or in executing a UNICEF-financed contract.

  1. GUIDELINES ON GIFTS AND HOSPITALITYBidders shall not offer gifts or hospitality to UNICEF staff members. Recreational trips to sporting or cultural events, theme parks or offers of holidays, transportation, or invitations to extravagant lunches or dinners are also prohibited.

  2. LATE DELIVERY Without limiting any other rights or obligations of the parties hereunder, if the contractor will be unable to deliver the services by the delivery date stipulated in the Contract, the contractor shall (i) immediately consult with UNICEF to determine the most expeditious means for delivering the services and (ii) use an expedited means of delivery, at the contractor's cost, if reasonably so requested by UNICEF.

  3. RIGHTS OF UNICEFIn case of failure by the contractor to perform under the terms and conditions of this Contract, UNICEF may, after giving the contractor reasonable notice to perform and without prejudice to any other rights or remedies, exercise one or more of the following rights:

(a) Procure all or part of the services from other sources, in which event UNICEF may hold the contractor responsible for any excess cost occasioned thereby. In exercising such rights UNICEF shall mitigate its damages in good faith;

(b) refuse to accept delivery of all or part of the services;

(c) terminate the Contract without any liability for termination charges or any other liability of any kind of UNICEF;

(d) for late delivery of services or for services which do not meet UNICEF’s terms of reference/statement of work and are therefore rejected by UNICEF, claim liquidated damages from the contractor and deducts 0.5% of the value of the services pursuant to a Contract per additional day of delay, up to a maximum of 10% of the value of the Contract. The payment or deduction of such liquidated damages shall not relieve the contractor from any of its other obligations or liabilities pursuant to this Contract. ANNEX III - UNICEF GENERAL TERMS AND CONDITIONS FOR INSTITUTIONAL/ CORPORATE CONTRACTS

  1. ACKNOWLEDGMENT COPY

Signing and returning the acknowledgment copy of a contract issued by UNICEF or beginning work under that contract shall constitute acceptance of a binding agreement between UNICEF and the contractor.

  1. DELIVERY DATE

Delivery Date to be understood as the time the contract work is completed at the location indicated under Delivery Terms.

  1. PAYMENT TERMS

(a) UNICEF shall, unless otherwise specified in the contract, make payment within 30 days of receipt of the contractor's invoice which is issued only upon UNICEF’s acceptance of the work specified in the contract.

(b) Payment against the invoice referred to above will reflect any discount shown under the payment terms provided payment is made within the period shown in the payment terms of the contract.

(c) The prices shown in the contract cannot be increased except by express written agreement by UNICEF.

  1. LIMITATION OF EXPENDITURE

No increase in the total liability to UNICEF or in the price of the work resulting from design changes, modifications, or interpretations of the statement of work will be authorized or paid to the contractor unless such changes have been approved by the contracting authority through an amendment to this contract prior to incorporation in the work.

  1. TAX EXEMPTION

Section 7 of the Convention on the Privileges and Immunities of the United Nations provides, inter alia, that the UN, including its subsidiary organs, is exempt from all direct taxes and is exempt from customs duties in respect of articles imported or exported for its official use. Accordingly, the contractor authorizes UNICEF to deduct from the contractor's invoice any amount representing such taxes or duties charged by the contractor to UNICEF. Payment of such corrected invoice amount shall constitute full payment by UNICEF. In the event any taxing authority refuses to recognize the UN exemption from such taxes, the contractor shall immediately consult with UNICEF to determine a mutually acceptable procedure.Accordingly, the contractor authorizes UNICEF to deduct from the contractor’s invoice any amount representing such taxes, duties, or charges, unless the contractor has consulted with UNICEF before the payment thereof and UNICEF has, in each instance, specifically authorized the contractor to pay such taxes, duties or charges under protest. In that event, the contractor shall provide UNICEF with written evidence that payment of such taxes, duties or charges has been made and appropriately authorized.

  1. LEGAL STATUS.

The contractor shall be considered as having the legal status of an independent contractor vis-à-vis UNICEF. The contractor’s personnel and sub-contractors shall not be considered in any respect as being the employees or agents of UNICEF.

  1. CONTRACTOR’S RESPONSIBILITY FOR EMPLOYEES

The contractor shall be responsible for the professional and technical competence of its employees and will select, for work under this Contract, reliable individuals who will perform effectively in the implementation of the Contract, respect the local customs and conform to a high standard of moral and ethical conduct.

  1. INDEMNIFICATION

The contractor shall indemnify, hold and save harmless and defend, at its own expense, UNICEF, its officials, agents, servants and employees, from and against all suits, claims, demands and liability of any nature or kind, including their costs and expenses, arising out of the acts or omissions of the contractor or its employees or sub-contractors in the performance of this Contract. This provision shall extend, inter alia, to claims and liability in the nature of workmen’s compensation, product liability and liability arising out of the use of patented inventions or devices, copyrighted material or other intellectual property by the contractor, its employees, officers, agents, servants or sub-contractors. The obligations under this Article do not lapse upon termination of this Contract.

  1. INSURANCE AND LIABILITIES TO THIRD PARTIES

(a) The contractor shall provide and thereafter maintain insurance against all risks in respect of its property and any equipment used for the execution of this Contract.

(b) The contractor shall provide and thereafter maintain all appropriate workmen’s compensation and liability insurance, or its equivalent, with respect to its employees to cover claims for death, bodily injury or damage to property arising from the execution of this Contract. The contractor represents that the liability insurance includes sub-contractors.

(c) The contractor shall also provide and thereafter maintain liability insurance in an adequate amount to cover third party claims for death or bodily injury, or loss of or damage to property, arising from or in connection with the provision of work under this Contract or the operation of any vehicles, boats, airplanes or other equipment owned or leased by the contractor or its agents, servants, employees or sub-contractors performing work or services in connection with this Contract.

(d) Except for the workmen’s compensation insurance, the insurance policies under this Article shall:

(i) Name UNICEF as additional insured;

(ii) Include a waiver of subrogation of the contractor’s rights to the insurance carrier against UNICEF;

(iii) Provide that UNICEF shall receive thirty (30) days written notice from the insurers prior to any cancellation or change of coverage.

(e) The contractor shall, upon request, provide UNICEF with satisfactory evidence of the insurance required under this Article.

  1. SOURCE OF INSTRUCTIONS

The contractor shall neither seek nor accept instructions from any authority external to UNICEF in connection with the performance of its services under this Contract. The contractor shall refrain from any action which may adversely affect UNICEF or the United Nations and shall fulfill its commitments with the fullest regard to the interests of UNICEF.

  1. ENCUMBRANCES/LIENS

The contractor shall not cause or permit any lien, attachment or other encumbrance by any person to be placed on file or to remain on file in any public office or on file with UNICEF against any monies due or to become due for any work done or materials furnished under this Contract, or by reason of any other claim or demand against the contractor.

  1. TITLE TO EQUIPMENT

Title to any equipment and supplies which may be furnished by UNICEF shall rest with UNICEF and any such equipment shall be returned to UNICEF at the conclusion of this Contract or when no longer needed by the contractor. Such equipment when returned to UNICEF shall be in the same condition as when delivered to the contractor, subject to normal wear and tear.

  1. COPYRIGHT, PATENTS AND OTHER PROPRIETARY RIGHTS

UNICEF shall be entitled to all intellectual property and other proprietary rights including but not limited to patents, copyrights and trademarks, with regard to documents and other materials which bear a direct relation to or are prepared or collected in consequence or in the course of the execution of this contract. At UNICEF's request, the contractor shall take all necessary steps, execute all necessary documents and generally assist in securing such proprietary rights and transferring them to the UNICEF in compliance with the requirements of the applicable law.

  1. CONFIDENTIAL NATURE OF DOCUMENTS

(a) All maps, drawings, photographs, mosaics, plans, reports, recommendations, estimates, documents and all other data compiled by or received by the contractor under this Contract shall be the property of UNICEF, shall be treated as confidential and shall be delivered only to the UN authorized officials on completion of work under this Contract.

(b) The contractor may not communicate any time to any other person, Government or authority external to UNICEF, any information known to it by reason of its association with UNICEF which has not been made public except with the authorization of the UNICEF; nor shall the contractor at any time use such information to private advantage. These obligations do not lapse upon termination of this Contract with UNICEF.

  1. FORCE MAJEURE; OTHER CHANGES IN CONDITIONS

(a) In the event of and as soon as possible after the occurrence of any cause constituting force majeure, the contractor shall give notice and full particulars in writing to UNICEF of such occurrence or change if the contractor is thereby rendered unable, wholly or in part, to perform its obligations and meet its responsibilities under this Contract. The contractor shall also notify UNICEF of any other changes in conditions or the occurrence of any event which interferes or threatens to interfere with its performance of the Contract. On receipt of the notice required under this Article, UNICEF shall take such action as, in its sole discretion; it considers to be appropriate or necessary in the circumstances, including the granting to the contractor of a reasonable extension of time in which to perform its obligations under the Contract.

(b) If the contractor is rendered permanently unable, wholly, or in part, by reason of force majeure to perform its obligations and meet its responsibilities under this Contract, UNICEF shall have the right to suspend or terminate this Contract on the same terms and conditions as are provided for in Article 14, “Termination”, except that the period of notice shall be seven (7) days instead of thirty (30) days.

(c) Force majeure as used in this Article means acts of God, war (whether declared or not), invasion, revolution, insurrection or other acts of a similar nature or force.

  1. TERMINATION

If the contractor fails to deliver any or all of the deliverables within the time period(s) specified in the contract, or fails to perform any of the terms, conditions, or obligations of the contract, or should the contractor be adjudged bankrupt, or be liquidated or become insolvent, or should the contractor make an assignment for the benefit of its creditors, or should a Receiver be appointed on account of the insolvency of the contractor, UNICEF may, without prejudice to any other right or remedy it may have under the terms of these conditions, terminate the Contract, forthwith, in whole or in part, upon thirty (30) days’ notice to the contractor.

UNICEF reserves the right to terminate without cause this Contract at any time upon thirty (30) days prior written notice to the contractor, in which case UNICEF shall reimburse the contractor for all reasonable costs incurred by the contractor prior to receipt of the notice of termination.

In the event of any termination no payment shall be due from UNICEF to the contractor except for work and services satisfactorily performed in conformity with the express terms of this contract.

Upon the giving of such notice, the contractor shall have no claim for any further payment, but shall remain liable to UNICEF for reasonable loss or damage which may be suffered by UNICEF for reason of the default. The contractor shall not be liable for any loss or damage if the failure to perform the contract arises out of force majeure.

Upon termination of the contract, UNICEF may require the contractor to deliver any finished work which has not been delivered and accepted, prior to such termination and any materials or work-in-process related specifically to this contract. Subject to the deduction of any claim UNICEF may have arising out of this contract or termination, UNICEF will pay the value of all such finished work delivered and accepted by UNICEF.

The initiation of arbitral proceedings in accordance with Article 22 “Settlement of Disputes” below shall not be deemed a termination of this Contract.

  1. SUB-CONTRACTING

In the event the contractor requires the services of subcontractors, the contractor shall obtain the prior written approval and clearance of UNICEF for all sub-contractors. The approval of UNICEF of a sub-contractor shall not relieve the contractor of any of its obligations under this Contract. The terms of any sub-contract shall be subject to and in conformity with the provisions of this Contract.

  1. ASSIGNMENT AND INSOLVENCY

  2. The contractor shall not, except after obtaining the written consent of UNICEF, assign, transfer, pledge or make other dispositions of the Contract, or any part thereof, of the contractor's rights or obligations under the Contract.

  3. Should the contractor become insolvent or should control of the contractor change by virtue of insolvency, UNICEF may, without prejudice to any other rights or remedies, terminate the Contract by giving the contractor written notice of termination.

  4. USE OF UNITED NATIONS AND UNICEF NAME AND EMBLEM

The contractor shall not use the name, emblem or official seal of the United Nations or UNICEF or any abbreviation of these names for any purpose.

  1. OFFICIALS NOT TO BENEFIT

The contractor warrants that no official of UNICEF or the United Nations has received or will be offered by the contractor any direct or indirect benefit arising from this Contract or the award thereof. The contractor agrees that breach of this provision is a breach of an essential term of the Contract.

  1. PROHIBITION ON ADVERTISING

The contractor shall not advertise or otherwise make public that the Contractor is furnishing goods or services to UNICEF without specific permission of UNICEF.

  1. SETTLEMENT OF DISPUTES

Amicable Settlement

The Parties shall use their best efforts to settle amicably any dispute, controversy or claim arising out of, or relating to this Contract or the breach, termination or invalidity thereof. Where the parties wish to seek such an amicable settlement through conciliation, the conciliation shall take place in accordance with the UNCITRAL Conciliation Rules then obtaining, or according to such other procedure as may be agreed between the parties.

Arbitration

Any dispute, controversy or claim between the Parties arising out of this Contract or the breach, termination or invalidity thereof, unless settled amicably under the preceding paragraph of this Article within sixty (60) days after receipt by one Party or the other Party’s request for such amicable settlement, shall be referred by either Party to arbitration in accordance with the UNCITRAL Arbitration Rules then obtaining. The arbitral tribunal shall have no authority to award punitive damages. In addition, the arbitral tribunal shall have no authority to award interest in excess of six percent (6%) and any such interest shall be simple interest only. The Parties shall be bound by any arbitration award rendered as a result of such arbitration as the final adjudication of any such controversy, claim or dispute.

  1. PRIVILEGES AND IMMUNITIES

The privileges and immunities of the UN, including its subsidiary organs, are not waived.

  1. CHILD LABOR

UNICEF fully subscribes to the Convention on the Rights of the Child and draws the attention of potential suppliers to Article 32 of the Convention which inter alia requires that a child shall be protected from performing any work that is likely to be hazardous or to interfere with the child's education, or to be harmful to the child's health or physical, mental, spiritual, moral or social development.

  1. ANTI-PERSONNEL MINES

UNICEF supports an international ban on the manufacture of anti-personnel mines. Anti-personnel mines have killed and maimed thousands of people, of whom a large proportion is children and women. Anti-personnel mines present a serious obstacle to the return of populations displaced from their residences by fighting around their villages and homes. UNICEF has, therefore, decided not to purchase products from companies that sell or manufacture anti-personnel mines or their components.

  1. AUTHORITY TO MODIFY

No modification or change in this Contract, no waiver of any of its provisions or any additional contractual relationship of any kind with the contractor shall be valid and enforceable against UNICEF unless provided by an amendment to this Contract signed by the authorized official of UNICEF.

  1. REPLACEMENT OF PERSONNEL

UNICEF reserves the right to request the contractor to replace the assigned personnel if they are not performing to a level that UNICEF considers satisfactory. After written notification, the contractor will provide curriculum vitae of appropriate candidates within three (3) working days for UNICEF review and approval. The contractor must replace the unsatisfactory personnel within seven (7) working days of UNICEF’s selection.

If one or more key personnel become unavailable, for any reason, for work under the contract, the contractor shall (i) notify the project authority at least fourteen (14) days in advance, and (ii) obtain the project authority’s approval prior to making any substitution of key personnel. Key personnel are designated as follows:

(a) Personnel identified in the proposal as key individuals (as a minimum, partners, managers, senior auditors) to be assigned for participation in the performance of the contract.

(b) Personnel whose resumes were submitted with the proposal; and

(c) Individuals who are designated as key personnel by agreement of the contractor and UNICEF during negotiations.

In notifying the project authority, the contractor shall provide an explanation of circumstances necessitating the proposed replacement(s) and submit justification and qualification of replacement personnel in sufficient detail to permit evaluation of the impact on the engagement.

Acceptance of a replacement person by the project authority shall not relieve the contractor from responsibility for failure to meet the requirements of the contract.

Proposals received in any other manner will be invalidated.

Sealed proposals received prior to the stated closing time and date will be kept unopened. The responsible officers will open technical proposals [publicly] when the specified time has arrived and no proposal received thereafter will be considered. UNICEF will accept no responsibility for the premature opening of a proposal not properly addressed or identified. Any delays encountered in the mail delivery will be at the risk of the bidder.

Offers delivered at a different address or in a different form than prescribed in this RFP, or which do not respect the required confidentiality, or received after the designated time and date, will be rejected.

All references to descriptive materials should be included in the appropriate response paragraph, though the material/documents themselves may be provided as annexes to the proposal/response.

The bidder must also provide sufficient information in the proposal to address each area of the Proposal Evaluation contained in 1.10 to allow the evaluation team to make a fair assessment of the candidates and their proposal.
